For Bidcorp, governance is not a compliance exercise β it is the foundation upon which a sustainable, trusted foodservice business is built. Our decentralised operating model places great responsibility on local management, and that requires a governance framework that is clear, consistent, and genuinely embedded in day-to-day decision-making.
We apply King IV principles across the group and maintain alignment with applicable governance codes in each of our 31 operating markets. The Social and Ethics Committee of the Board has direct oversight of our ESG commitments, while each operating company is accountable to its own local governance structures within the group framework.

Four pillars of responsible governance
Board Oversight & Accountability
The Bidcorp Board provides independent oversight of group strategy, risk, performance, and sustainability. The Social and Ethics Committee holds specific responsibility for ESG commitments, including environmental targets, people practices, and ethical conduct.
Board independence is maintained through a majority of non-executive directors and a formal evaluation process conducted annually by an external facilitator.
Risk Management & Compliance
The Audit and Risk Committee oversees the group's enterprise risk management framework, ensuring material ESG risks β including climate transition risk, supply chain disruption, and regulatory change β are identified, assessed, and actively managed.
Internal audit functions independently verify compliance with group policies and local regulatory requirements in each operating territory.
Ethics, Integrity & Anti-Corruption
Bidcorp's Code of Ethics governs conduct for all employees, directors, and contractors across the group. Zero tolerance for bribery and corruption is enforced through our Anti-Bribery and Corruption Policy, which applies in every market regardless of local norms.
Compliance training is mandatory for all new employees and refreshed annually at operating company level.
Stakeholder Engagement & Reporting
We are committed to transparent, balanced reporting of our governance performance. Our annual Sustainability Report, Governance Report, and Remuneration Report are published in September each year and are aligned with internationally recognised disclosure frameworks.
We engage proactively with shareholders, analysts, regulators, and civil society to maintain trust in Bidcorp's licence to operate.

Bidcorp provides confidential, independently managed reporting channels in all regions. Anyone β employee, contractor, or third party β can raise an ethical concern safely. Anonymity is protected where local legislation permits. Reports go directly to the relevant compliance team, not line management.
